General Terms and Conditions
These Terms and Conditions govern the agreement between Balloonista Ltd (“we”, “our”, or “us”) and the client (“you” or “Client”) regarding the provision of Styling Services, Goods, or Equipment hire for your Event.
1. Definitions
Charges means the total fees payable for Goods, Equipment hire, or Styling Services as specified in the Quotation.
Styling Services includes styling advice, purchase of Goods, delivery, installation, and removal of Equipment, based on your Brief.
Deposit means a payment made to secure Styling Services or Equipment hire for a specific date.
Event refers to the occasion (e.g. wedding, party) for which our services are booked.
Equipment includes all items provided for hire to style your Event.
Goods refers to products purchased outright, such as balloons and décor.
Quotation is the agreed estimate outlining the Charges and scope of Styling Services.
Site is the location where Equipment is used or the Event occurs.
2. Contract Formation
2.1 A binding contract is formed when you accept the Quotation and provide the required Deposit.
2.2 This agreement, together with the Quotation, constitutes the entire contract between us.
2.3 Any changes to this agreement must be agreed in writing by both parties.
3. Charges and Payment
3.1 All Charges are specified in the Quotation.
3.2 A Deposit of 50% of the Charges is required to secure our services. The balance is payable no later than four (4) weeks before the Event.
3.3 If the Event is booked less than four (4) weeks in advance, full payment is required at the time of booking.
3.4 If any payment due under this agreement is not received by the due date, we reserve the right to charge interest on the overdue amount at a rate of 5% per annum above the Bank of England base rate, accruing daily until payment is made in full.
3.5 Payments shall be made using the payment method specified in the invoice or via the secure payment methods made available at the time of booking.
4. Cancellation Policy
4.1 Cancellation by the Client
Cancellations must be made in writing or by email.
If cancelled more than four (4) weeks before the Event, the Deposit is non-refundable, but no further Charges are payable.
If cancelled less than four (4) weeks before the Event, the Client forfeits the Deposit and must pay 100% of the Charges, less any pre-paid amounts.
4.2 Cancellation by Balloonista Ltd
In the unlikely event that we are required to cancel the agreement for reasons within our reasonable control, we will refund all payments received for the cancelled services within fourteen (14) days.
We shall not be liable for any additional compensation, loss, or expenses incurred beyond the refund of sums paid.
We reserve the right to terminate the agreement with immediate effect if the Client behaves in a manner that is abusive, threatening, or unreasonable towards our team or contractors, in which case any refund will be at our discretion.
5. Delivery, Acceptance and Risk
5.1 Goods and Equipment are deemed delivered once handed over at the agreed Site, delivery point, or accepted by the Client, venue staff, or a third party acting on the Client’s behalf.
5.2 Risk passes to the Client immediately upon delivery or handover, including where items are left at a loading bay, reception, doorstep, or alternative location at the Client’s request or due to venue restrictions.
5.3 From the point of delivery, the Client is fully responsible for the Goods and Equipment, including any loss, damage, bursting, deterioration, or interference caused by handling, environmental conditions, or third parties.
5.4 The Client must inspect all items upon delivery and notify us of any defects or issues within twenty-four (24) hours. Failure to do so will be deemed acceptance in good condition.
6. Use of Equipment
6.1 Equipment must be used solely for the agreed Event and handled with reasonable care.
6.2 Equipment must not be removed from the Site or altered without prior written consent.
6.3 Clients are liable for any loss, theft, or damage to Equipment during the hire period.
7. Liability
7.1 Our total liability under this agreement shall be limited to the total Charges paid.
7.2 We shall not be liable for indirect or consequential losses, including loss of profits or business.
7.3 Nothing in these Terms limits liability for death or personal injury caused by negligence.
8. Force Majeure
Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, pandemics, or government restrictions.
9. Intellectual Property
All designs, concepts, and photographs remain the intellectual property of Balloonista Ltd.
We reserve the right to use images of our work for marketing purposes unless otherwise agreed in writing.
10. Dispute Resolution
The parties agree to use reasonable endeavours to resolve disputes amicably and, where appropriate, through mediation before commencing legal proceedings.
This clause does not prevent either party from pursuing legal proceedings where mediation is unsuccessful or inappropriate.
11. Governing Law
This agreement is governed by the laws of England and Wales.
12. Safety and Care
Helium balloons must not be released and should be disposed of responsibly.
Children under eight (8) years must be supervised around balloons due to choking hazards.
Balloons should be kept away from sharp objects and extreme temperatures.
13. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy, available on our website.
14. Amendments to Terms
We reserve the right to amend these Terms from time to time. Amendments will not apply retrospectively to confirmed bookings.
Updated Terms apply to future bookings only.
15. Severability
If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.
